1. DEFINITIONS
1.1 All DEFINITIONS from the General Agreement for use of TxtBox shall apply.
1.2 "Commencement Date" shall mean the date from which this Agreement is accepted by you as based upon your electronic agreement to these terms.
1.3 "Chargeable Package" refers to a Package where a Licence Fee is applied. For the avoidance of doubt, a Package where no Licence Fee is required for registration is NOT a Chargeable Package.
1.4 "Current Price" shall mean the price advertised on the web site www.txtbox.net as the Licence Fee applied to any particular package.
1.5 "List Price" shall mean the list price for any particular package as notified on the web site www.txtbox.net. The List Price shall never be less than the Current Price.
2. GENERAL
2.1 All terms & conditions within the General Agreement for use of TxtBox shall apply unless explicitly stated elsewhere within this Agreement.
3. AFFILIATE CODE
3.1 As an Associate Affiliate you will be issued with a single unique Affiliate Code.
3.2 Your Affiliate Code may be used only with future registrations.
3.3 Your Affiliate Code is deemed to be "Correctly Applied" when ALL the following four conditions apply:
3.3.1 It was entered into one the appropriate referral code boxes on the registration form by a new client during the registration process.
3.3.2 It was used for registration for a Chargeable Package.
3.3.3 No other referral codes belonging to other Affiliates (whether Associate Affiliates or Master Affiliates) were used.
3.3.4 The client completes the registration process completely, including making a successful payment to TxtBox for the Licence Fee.
3.4 When your Affiliate Code is Correctly Applied:
3.4.1.1 The new client using the Affiliate Code will receive:
3.4.1.1.1 A 10% discount against the then Current Price of the relevant Package.
3.4.1.1.2 250 Free SMS credited to their account.
3.4.1.2 You will receive:
3.4.1.2.1 A 10% payout against the then List Price of the relevant Package.
3.4.1.2.2 100 Free SMS immediately credited to your account.
4. PAYOUT TERMS
4.1 Payout from Correctly Applied use of your Affiliate Code will be shown on your account as "un-cleared funds" until the end of the month in which the payout was received, at which point it will be transferred to "cleared funds".
4.2 Up to 90% of "un-cleared funds" may be used to accommodate SMS Costs.
4.3 "Un-cleared funds" may not be withdrawn or used for any other purpose.
5. MARKETING & LICENCE
5.1 By virtue of this Agreement TxtBox offers you the non-exclusive right to promote and sell TxTBox.
5.2 There are no obligations on TxtBox to market the website www.txtbox.net or any other TxtBox Service or Product.
5.3 You will operate independently and exclusively at your own cost.
6. APPROPRIATE USE OF SERVICE
6.1 You must not make reference to partnership with TxtBox unless authorised in writing with us.
6.2 You must not make any promised or warranties related to the performance or features of TxtBox which you known to be untrue or reasonably believe may be untrue.
6.3 Breach of any of the clauses 6.1, 6.2 may result in the immediate closure of your account and/or revocation of your Affiliate Code and Associate Affiliate privileges and cancellation of this contract.
6.4 In the event of any action being taken under clause 6.4 any outstanding monies will fall due immediately and any PSMS Revenue or payout owed will be forfeit. Furthermore, you agree to indemnify us against any costs or losses we may incur as a result of any claims or legal proceedings that are brought or threatened against us by any third party.
6.5 In order to be an Associate Affiliate, you must have an active TxtBox account.
7. FREE SMS
7.1 Free SMS credited to your account as a result of the use of your Correctly Applied Affiliate Code and from time to time have no financial value.
8. REPORTING
8.1 TxtBox will provide you with all appropriate reporting tools via your logged in account at the web site www.txtbox.net.
9. TERMINATION
9.1 You may withdraw from the Associate Affiliate program at any time without notice.
9.2 TxtBox reserves the right to suspend your use of the TxtBox service or any components thereof without notice in the event of inappropriate use of the service.
10. ENTIRE AGREEMENT
10.1 The Agreement plus all the terms with the General Agreement for use of TxtBox, to which you have already agreed between then constitute the entire Agreement between us and you.
